Job Description

Position Overview

Tract is seeking an Assistant Corporate Counsel that will be stationed at Tract’s headquarters in Denver, Colorado. The successful candidate will report directly to the General Counsel in the Company’s legal department. The position is a highly visible role that includes hands-on, frontline work across the organization and externally in the execution of large, industrial land acquisition transactions nationwide.

Responsibilities

Summary of general areas of work:

Evaluating land acquisitions and sales; structuring land transactions; managing acquisition and sales; working entitlement, development and construction processes; and working on corporate, infrastructure, vendor and all other Company transactional and regulatory matters.

The successful candidate will be a self-starter, comfortable working in a fast-paced, entrepreneurial, team-friendly environment with limited day-to-day oversight.

Specific Responsibilities Include

  • Identifying and evaluating legal issues and risk in order to communicate legal and business recommendations to team members on all matters relative to Tract’s real estate business
  • Analyzing and advising on legal issues and risk associated with Company’s real estate transactions, from contracting on acquisitions and sales, through due diligence, closing, entitlements, development and construction
  • Responsible for undertaking and managing due diligence, conducting title and survey review, performing negotiations with buyers, sellers, governmental entities, development partners and other stakeholders
  • Working with real estate, entitlement, development and construction teams on all land contracting, land use, entitlement, development and construction matters
  • Interacting with landowners and landowners’ attorneys in a manner that projects a positive image of Company
  • Drafting, negotiating and preparing contracts in all phases of Company transactions including land acquisitions, sales, entitlement, development, construction, infrastructure, procurement, vendor and complex contracts
  • Managing corporate entity filings
  • Drafting and preparing corporate entity documentation
  • Advising on process improvements in support of business objectives
  • Managing outside counsel for local and regulatory issues
  • Collaborating in a highly matrixed environment


Baseline Requirements

Education/Accreditations: JD required from an ABA accredited law school. Admitted to and in good standing with a state bar.

Experience: 5 to 8+ years of in-depth real estate and transactional knowledge and understanding of real estate law, land use, development, construction, corporate governance, complex contracts, compliance and regulatory matters for commercial real estate acquisitions and real estate development. Preferably in a law firm.

Travel: This position requires significant time with the market teams and, therefore, will require meaningful travel time to Tract markets.

Required Traits, Expertise, And Skills

  • Demonstrated success with all aspects of complex commercial real estate transactions
  • Comprehensive knowledge of real estate, development, land use, construction, infrastructure and complex transactions language
  • Extensive experience drafting, reviewing and negotiating real estate documents required for all steps of the real estate purchase, sale and development process
  • Comprehensive knowledge of corporate governance
  • Extensive experience drafting and preparing corporate entity documentation
  • Extensive experience in drafting, reviewing and negotiating land use, entitlement, infrastructure and construction documentation
  • Experience with real estate finance and real investment trusts (REIT)
  • Extensive experience in drafting, reviewing and negotiating complex contracts
  • Responsible, ethical and collaborative mindset with a can-do attitude and pride in work product
  • Ability to work closely with cross-functional teams of internal and external resources to manage projects and teams to successful and predictable conclusions
  • Demonstrated project management skills, preferably connected to real estate acquisitions, sales, land use, development and construction
  • Ability to problem solve, leveraging independent analysis, local relationships, corporate resources and executive support
  • Detail-oriented to support data-driven analysis and decision-making

Anticipated Salary Range (based On Experience)

Up to $220,000 plus bonus
